Honorary and Life Member Privileges

Definitions

Life Membership

Life Membership is structured as a one-time premium with no recurring annual fees and provides lifelong access across all current and future Club locations worldwide. It has been designed for committed wine enthusiasts who wish to secure long-term participation in the Club’s growth and evolution. In January, it was published as a new global Member category, priced at £35K or equivalent in local currency.

Life Membership has been in existence in London since the Club’s opening in 2015. Our original or Founding Life Members become part of the new group of Life Members globally and benefit from the same recently announced perks, as displayed below. Alongside new Life Members, our Founding Life Members have played an important role in establishing and shaping 67 Pall Mall’s membership community.

Honorary Membership

A few terms have been used historically to describe this category, including Shareholders and more recently Honorary Life Members.

The official designation is now Honorary Membership, and members in this category are referred to as Honorary Members. Honorary Members are Members who hold a financial interest in the business through equity ownership or debt participation. Their membership is granted in recognition of this alignment of interest with the long-term growth and success of 67 Pall Mall. While Honorary Membership also provides access for life, similar to Life Membership, it is important to distinguish between the two categories:

• Honorary Membership

– granted through qualifying equity ownership or debt participation.

• Life Membership

– obtained through a one-time premium payment, with no associated equity or debt participation. Within the Honorary Membership category, there are a few distinctions worth clarifying:

Shareholders – Introduced either during the development phase prior to a Club opening, when shares are first offered, or subsequently via the secondary market, Shareholders may be individuals or corporate entities who acquire a minimum tranche of equity, with each tranche granting one Honorary Membership, or until the underlying shares are transferred or sold. This is the only category that grants transferability of Membership, through a transfer of shares. As early adopters and believers, they are granted enhanced privileges which include exclusive events, priority access to wine events, and access to exclusive reciprocal clubs.

Debenture Holders – In addition to equity financing, the Group raises capital for the development of Clubs and projects through debt from lenders, many of whom are Members. Debenture Holders are granted Honorary Membership in recognition of their financial participation.

Allocated or Associate – For Members who purchase more than one lot or tranche of equity or debt, they would be accorded multiple Honorary Memberships. In these cases, the privileges would be accorded to the primary shareholder or debt holder and not their allocated Memberships. The reason for this is to reward the decision maker and investor, and distinguish them from the recipients of the allocated Memberships. Allocated Honorary Members enjoy lifelong membership access but do not receive the enhanced privileges reserved for the primary shareholder or debt holder.

Corporate – Some equity ownership interests or debt participations are held through corporate entities, with membership rights assigned to designated individuals. In these cases, the privileges such as corkage or otherwise would apply to the company, and not the individual. For example, in the case of corkage: some companies list 10 or so individuals as their designated users of the Club. These 10 individuals would collectively share the 30 allocated corkage waivers, not receive 30 each.

Important Note:
Joint Members (Spouses or Partners) of Honorary Members are not entitled to privileges unless they were allocated an Honorary Membership. Joint Members therefore fall outside the Honorary Membership category and remain within the standard membership category, subject to annual fees.
